The Loom platform, including its software, design, source code, documentation, and all related intellectual property, is owned by Konnecta Systems and its licensors. Nothing in these Terms grants you any ownership rights in the Service.
Subject to these Terms, Konnecta Systems grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service solely for your organisation's internal business purposes during the applicable subscription term.
You and your organisation retain all ownership rights in the data, content, and information you upload or input into the Service ("Client Data"). You grant Konnecta Systems a limited licence to store, process, and display Client Data solely to the extent necessary to provide the Service.
If you provide feedback, suggestions, or ideas regarding the Service, you grant Konnecta Systems a royalty-free, perpetual, irrevocable licence to use such feedback for any purpose, without obligation to you.

Konnecta Systems will use commercially reasonable efforts to make the Service available 24 hours a day, 7 days a week, subject to planned maintenance windows and circumstances beyond our control.
We may perform scheduled or emergency maintenance that temporarily affects availability. Where possible, we will provide advance notice of planned downtime.
We do not guarantee any specific uptime percentage unless expressly stated in a separate Service Level Agreement (SLA) agreed with your organisation.
We reserve the right to modify, suspend, or discontinue any feature or aspect of the Service at any time, with reasonable notice where practicable.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, KONNECTA SYSTEMS AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR:
IN NO EVENT SHALL KONNECTA SYSTEMS' TOTAL AGGREGATE LIABILITY TO YOUR ORGANISATION EXCEED THE AMOUNTS PAID BY YOUR ORGANISATION FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
The limitations above apply regardless of the legal theory under which such damages are claimed, and even if Konnecta Systems has been advised of the possibility of such damages.
You and your organisation agree to indemnify, defend, and hold harmless Konnecta Systems and its affiliates, officers, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:
Your organisation (as the Client) may terminate its use of the Service by providing notice as required under its agreement with Konnecta Systems. Individual user accounts may be deactivated at any time by an administrator.
We may suspend or terminate your access to the Service, with or without notice, if:
Upon termination, your right to access the Service ceases immediately. Client Data will be handled in accordance with the Data Processing Agreement between Konnecta Systems and your organisation, including any data return or deletion obligations.
Provisions of these Terms that by their nature should survive termination (including intellectual property rights, disclaimers, and limitation of liability) will remain in force.
These Terms shall be governed by and construed in accordance with the laws of Greece, without regard to its conflict of law provisions.
Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Athens, Greece.
Before initiating formal legal proceedings, the parties agree to attempt in good faith to resolve any dispute through direct negotiation for a period of 30 days from the date of notice of the dispute.
Nothing in this clause prevents either party from seeking urgent injunctive or other equitable relief from a competent court.
Konnecta Systems may revise these Terms from time to time. When we make material changes, we will notify you by email or by posting a notice prominently within the Loom platform, at least 14 days before the changes take effect (except where immediate changes are required by law).
Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must stop using the Service and notify your administrator.
